Article 1 (Scope)
These Terms of Service ("Terms") govern your use of badgelu ("Service"). By using the Service, you agree to these Terms.
Article 2 (Registration)
You may log in to the Service using OAuth authentication via Google, X (Twitter), or LINE. You must not provide false information during registration. Minors must obtain parental or guardian consent before using the Service.
Article 3 (Prohibited Conduct)
Users must not engage in any of the following: · Acts that violate laws or public order and morals · Acts related to criminal activity · Acts that infringe on the intellectual property rights, portrait rights, or privacy of the operator or third parties · Defamation of the operator or third parties · Acts that interfere with the operation of the Service · Unauthorized use of another user's account · Fraudulent revenue generation using the Service · Any other act the operator deems inappropriate
Article 4 (Badge and Chant Issuance & Purchase)
Badge creators may issue and sell badges through the Service. Supporters (badge purchasers) may purchase issued badges and chants. Purchases are final and non-refundable. Please review badge details carefully before purchasing. Badges and chants are digital content and cannot be exchanged for cash. A badge creator may, at their own discretion, stop new sales of a badge or discontinue it at any time. Even if a badge creator suspends or discontinues a badge, or deletes their account, the operator has no obligation to provide refunds or any other compensation for badges, perks, or chants already purchased. However, the operator may respond on a case-by-case basis where it deems necessary.
Article 5 (Fees & Revenue Payouts)
The Service pays badge creators the sales amount minus a platform fee (currently 20%). The fee rate may be changed at the operator's discretion with prior notice. Receiving revenue requires a Stripe Connect setup.
Article 6 (Content Rights)
Copyright of content uploaded by users (badge images, banner images, profile images, cheer messages, etc.) belongs to the respective user. Users grant the operator a free, non-exclusive license to use such content to the extent necessary for operating, improving, and promoting the Service. Posting content that infringes on the copyright or portrait rights of others is prohibited.
Article 7 (Service Changes, Suspension & Termination)
The operator may modify, suspend, or terminate the Service without prior notice to users. The operator is not liable for any damages incurred by users as a result. If a badge creator suspends or discontinues a badge under the preceding article, or deletes their account, the in-app data of supporters who have already made purchases (such as purchase history, perks, and NFT rank display) may not be retained, at the operator's discretion. Because NFT records remain on the blockchain, supporters can verify their holdings themselves via each chain's block explorer.
Article 8 (Disclaimer)
The operator makes no warranty that the Service is fit for any particular purpose, has expected functionality, accuracy, or usefulness, or will be free of defects. The operator is not liable for damages arising from use of the Service, except in cases of intentional misconduct or gross negligence.
Article 9 (Handling of Personal Information)
The operator handles user personal information in accordance with the separately defined Privacy Policy.
Article 10 (Amendments)
The operator may amend these Terms when deemed necessary. Amendments take effect upon posting on the Service. Continued use of the Service after an amendment constitutes acceptance of the amended Terms.
Article 11 (Governing Law & Jurisdiction)
These Terms are governed by and construed in accordance with Japanese law. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the court with jurisdiction over the operator's location.
Article 12 (Referral Program)
The Service offers a "Referral Program" where badge creators can invite other badge creators. When a new badge creator registers and is active through a referral link (/join?ref=code), the referrer permanently earns a percentage of that creator's sales (currently 5%) as a referral reward. The reward rate may be changed at the operator's discretion, with prior notice via the Service or to the registered email address. Self-referral (registering through your own link) is not eligible for rewards. Receiving referral rewards requires a Stripe Connect setup.
Article 13 (NFT Minting Feature)
The Service provides a feature to issue supporter ranking cards as NFTs (Non-Fungible Tokens). [Nature and Value of NFTs] NFTs are digital assets on a blockchain. The operator makes no warranty regarding the market value, liquidity, or future tradability of NFTs. NFT prices fluctuate based on market supply and demand. NFTs should not be used for investment purposes. [Fees] Minting an NFT requires a minting fee paid via Stripe. The blockchain network transaction fee ("gas fee") is calculated based on current network conditions at the time of minting and charged together with the minting fee through Stripe. You do not need to prepare cryptocurrency separately for gas fees. [No Cancellation After Minting] Once an NFT has been minted, the transaction cannot be cancelled or refunded. Please review all details carefully before minting. [Wallet Address Management] Users are responsible for entering their wallet address correctly. The operator is not liable for any losses resulting from NFTs sent to an incorrect address. Users are solely responsible for managing their own private keys and seed phrases. [Disclaimer] The operator is not liable for any damages arising from blockchain network failures, specification changes, service outages, changes to NFT marketplace terms, or other circumstances beyond the operator's reasonable control.
